Terms of Service

These terms govern Revoldiv's website, applications, APIs, uploaded media, generated transcripts, and related services.

These Terms form an agreement between you and Revoldiv. If you use the service for an organization, you represent that you have authority to bind that organization.

An order form, enterprise agreement, data-processing agreement, or other written agreement may add to or replace parts of these Terms. If there is a conflict, the signed customer-specific agreement controls.

Acceptance and eligibility

By accessing or using Revoldiv, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.

You must be legally able to enter into this agreement. If you use Revoldiv on behalf of a business, government agency, healthcare organization, educational institution, or other entity, “you” includes that entity.

Accounts and security

You are responsible for providing accurate account information, protecting your credentials and API keys, and all activity under your account. Do not share credentials outside the people and systems authorized to use them.

Notify us promptly if you suspect unauthorized access. We may require credential rotation, identity verification, or other reasonable steps to protect the service and affected users.

Your media and content

You retain the rights you hold in audio, video, live streams, URLs, transcripts, annotations, comments, summaries, exports, and other material you submit or create through Revoldiv (“Customer Content”). These Terms do not transfer ownership of Customer Content to Revoldiv.

You grant Revoldiv a limited, non-exclusive license to host, copy, transmit, transform, display, and otherwise process Customer Content only as reasonably necessary to provide, secure, support, and improve the service, comply with your instructions, and meet legal obligations.

You are responsible for Customer Content and for obtaining all permissions, notices, consents, and legal bases needed to record, upload, transcribe, analyze, share, publish, or otherwise process it. You must not submit content that infringes another person's rights or that you are prohibited from processing.

Transcripts and AI-generated outputs

Transcripts, speaker labels, timestamps, summaries, chapters, searches, and other automated results may be incomplete or inaccurate. Output quality can vary with audio quality, language, accents, overlapping speakers, technical vocabulary, and other factors.

You are responsible for reviewing outputs before using or publishing them. Do not rely on Revoldiv output as a substitute for professional judgment or as the sole basis for legal, medical, financial, employment, public-safety, or other consequential decisions.

Acceptable use

You may not use Revoldiv to:

  • Break the law, violate another person's rights, or process media without the authority or consent required by applicable law.
  • Upload malicious code, probe or disrupt the service, bypass access controls, or interfere with another user's account or data.
  • Attempt to reverse engineer, extract, or misuse non-public service components except where applicable law expressly permits it.
  • Resell or provide access to the service in a way not permitted by your plan or written agreement.
  • Use the service for spam, harassment, unlawful surveillance, deception, or content that facilitates violence or serious harm.
  • Misrepresent automated output as verified human-authored material when that distinction would be important.

We may investigate suspected abuse and take proportionate action, including limiting processing, suspending access, preserving relevant records, or contacting appropriate authorities when legally required.

API access

API credentials are confidential and may be used only for the account and applications for which they were issued. You are responsible for securing credentials, validating remote media sources and webhook destinations, and respecting documented limits.

We may apply reasonable rate, concurrency, file, duration, or security limits. API behavior, fields, and limits may evolve between versions. We will use reasonable efforts to communicate material breaking changes to supported production integrations.

Plans, fees, and enterprise agreements

Paid features, usage allowances, fees, taxes, renewal terms, support, service levels, and deployment commitments are described at purchase or in the applicable order form or agreement. Except where required by law or stated in that agreement, fees are non-refundable.

Enterprise deployments may include additional security, confidentiality, data-processing, implementation, maintenance, and support terms. Those written commitments apply only to the customer and deployment identified in the agreement.

Third-party services and integrations

Revoldiv may interoperate with authentication providers, storage systems, media hosts, AI processors, webhooks, and other third-party services. Your use of a third-party service is also governed by that provider's terms. We are not responsible for third-party services outside our control.

Revoldiv technology and feedback

Revoldiv and its licensors retain all rights in the service, software, designs, documentation, trademarks, and other technology, excluding Customer Content. Subject to these Terms and your plan, Revoldiv grants you a limited, revocable, non-exclusive, non-transferable right to use the service.

If you provide feedback or suggestions, you allow us to use them without restriction or compensation, provided we do not identify you publicly without permission.

Service availability, changes, and suspension

We work to keep Revoldiv available and reliable, but the service may be interrupted by maintenance, third-party failures, network conditions, security events, or circumstances beyond our control. Unless a written service-level agreement states otherwise, the service is provided without an uptime guarantee.

We may change or discontinue features, impose reasonable limits, or suspend access when needed to protect the service, comply with law, address nonpayment, or respond to a material breach. When practical, we will provide notice and an opportunity to resolve the issue.

You may stop using Revoldiv at any time. Provisions that by their nature should survive termination—including payment obligations, ownership, disclaimers, limitations, and dispute terms—will continue to apply.

Disclaimers and limitation of liability

To the maximum extent permitted by law, Revoldiv is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the service or automated outputs will be uninterrupted, error-free, complete, or suitable for every use.

To the maximum extent permitted by law, Revoldiv will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising from the service. Any customer-specific liability limits in a signed agreement control for that customer.

Nothing in these Terms excludes liability that applicable law does not allow us to exclude.

Responsibility for your use

To the extent permitted by law, you will defend and indemnify Revoldiv against third-party claims arising from Customer Content, your violation of these Terms, or your unlawful use of the service. This obligation does not apply to the extent a claim results from Revoldiv's own breach or misconduct.

Third-party media, earnings calls, and notices

Third-party media, earnings calls, transcripts, and related materials remain subject to the rights of their respective owners. Availability through Revoldiv does not transfer ownership or grant rights beyond those provided by the owner or applicable law.

Automated transcripts and summaries are supplemental research tools and may contain errors. For investment, legal, regulatory, or other important decisions, consult the official source and qualified professionals.

If you believe material available through Revoldiv infringes your rights, contact team@revoldiv.com with the affected URL or media identifier, a description of the claimed right, your contact information, and any supporting details.

Governing law and general terms

Unless a signed agreement states otherwise, these Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Courts located in Santa Clara County, California will have exclusive jurisdiction where applicable law permits.

If any provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent, except as part of an approved business transfer. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.

Changes to these Terms

We may update these Terms as the service or applicable requirements change. We will update the date above and provide additional notice when required. Continued use after the effective date of revised Terms constitutes acceptance of the updated Terms.
